These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, Connected TV (CTV) applications, and advertising services operated by Vodiomedia ("Vodiomedia", "we", "our", or "us").

By accessing or using our Services, you agree to be bound by these Terms.

1. Services

Vodiomedia provides advertising technology services, including ad serving, performance measurement, analytics, and related digital media services across web, mobile, and CTV platforms.

Certain features may require a separate written agreement (e.g., Publisher Agreement, Advertiser Agreement, or Data Protection Agreement).

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. Our Services are not directed to children under 13.

3. Accounts

If you create an account or access restricted areas:

  • You are responsible for maintaining confidentiality of credentials
  • You agree to provide accurate information
  • You are responsible for all activity under your account

We reserve the right to suspend or terminate accounts for violations of these Terms.

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes
  • Engage in fraud, invalid traffic, or artificial traffic generation
  • Reverse engineer, scrape, or exploit the platform
  • Interfere with system integrity or security
  • Upload malicious code or harmful content

Violation may result in immediate termination.

5. Advertising & Content

Vodiomedia acts as a technology intermediary. We do not endorse and are not responsible for third-party advertisements, publisher content, or external websites.

Advertisers and publishers are solely responsible for ensuring their content complies with applicable laws and platform policies (including Google Play, Apple App Store, and CTV platform policies).

6. Intellectual Property

All content, trademarks, logos, software, and technology provided by Vodiomedia are owned by or licensed to us and protected by intellectual property laws.

You may not copy, distribute, modify, or create derivative works without prior written permission.

7. Third-Party Services

Our Services may integrate or link to third-party services, including analytics providers, ad exchanges, and hosting providers.

We are not responsible for third-party services or their practices.

8. Privacy

Your use of the Services is also governed by our Privacy Policy.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis.

We do not guarantee:

  • Continuous or uninterrupted operation
  • Error-free performance
  • Specific revenue, performance, or results

To the fullest extent permitted by law, we disclaim all warranties, express or implied.

10. Limitation of Liability

To the maximum extent permitted by law, Vodiomedia shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, profits, data, or business opportunities.

Our total liability arising out of or related to the Services shall not exceed the amount paid to us (if any) in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Vodiomedia, its officers, directors, and affiliates from claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your content or advertising materials

12. Suspension & Termination

We may suspend or terminate access at any time for:

  • Violation of these Terms
  • Legal or regulatory requirements
  • Security risks

We may update these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance.

14. Governing Law

These Terms shall be governed by the laws of the State of Israel, without regard to conflict of law principles.
